LSE Capital Signs MoU to Sell Stake in Digital Custodian Company Limited

LSE Capital Limited (PSX: LSECL) has entered into a Memorandum of Understanding (MoU) with an unlisted financial services company for the proposed disposal of its shareholding in subsidiary Digital Custodian Company Limited (DCCL). The development was disclosed by LSE Capital through a notification submitted to the Pakistan Stock Exchange, outlining the proposed transaction and the conditions that must be completed before the disposal can be finalized.

Under the proposed arrangement, LSE Capital has agreed to proceed with the potential disposal of its stake in Digital Custodian Company Limited to the unnamed unlisted financial services company. The MoU represents an agreement covering the proposed transaction, but the disposal has not yet reached final completion. The transaction remains subject to the completion of the agreed terms and conditions as well as the required corporate and regulatory approvals.

The parties have set November 15, 2026, as the deadline for closing the transaction. This means the proposed disposal will need to complete the relevant contractual, corporate and regulatory requirements by that date for the transaction to proceed toward closure. Until those requirements are fulfilled, the proposed transfer of the shareholding remains subject to the conditions specified in the MoU and applicable approval processes.

Digital Custodian Company Limited is currently jointly owned by three entities within the LSE Capital group structure. LSE Capital Limited holds 54% of DCCL’s issued share capital, making it the largest shareholder in the company. LSE Financial Services Limited holds a 36% stake, while LSE Ventures Limited owns the remaining 10% of the issued share capital. The proposed transaction concerns LSE Capital’s shareholding in the subsidiary.

The ownership structure means that LSE Capital currently holds a controlling interest in Digital Custodian Company Limited, alongside its affiliated entities LSE Financial Services Limited and LSE Ventures Limited. Any disposal of LSE Capital’s stake will therefore represent a change in the ownership arrangement of DCCL, subject to the completion of the transaction and all applicable approvals. The notification did not disclose the financial value of the proposed transaction or identify the unlisted financial services company involved in the MoU.

The disclosure was made to the Pakistan Stock Exchange as part of LSE Capital’s corporate reporting requirements. The company informed the Exchange about the signing of the MoU and the proposed disposal, while also outlining the conditions attached to the transaction. The announcement provides investors with details of the proposed change involving LSE Capital’s investment in Digital Custodian Company Limited, while the final outcome remains dependent on the completion of the required processes.

For LSE Capital, the proposed transaction marks a potential change in its investment structure involving one of its subsidiaries. The MoU provides a framework for the proposed disposal, but completion will depend on agreed conditions and the receipt of necessary corporate and regulatory approvals. With November 15, 2026, established as the transaction closure deadline, the parties now have a defined timeframe for completing the remaining requirements associated with the proposed disposal.
