iTANZ Technologies Approves 10-for-1 Stock Split in Pakistan

iTANZ Technologies Limited has approved a 10-for-1 stock split, reducing the face value of its ordinary shares from Rs10 to Re1 each. The decision was approved through a special resolution at the company’s annual general meeting held on October 24, 2026. Under the arrangement, every existing ordinary share with a face value of Rs10 will be divided into 10 shares with a face value of Re1 each. The company said the change will not affect its total authorised or paid-up capital, meaning the split will alter the number of shares and their individual face value without changing the company’s overall capital structure.

The approved stock split is subject to the completion of regulatory requirements and the announcement of an implementation schedule. iTANZ Technologies will complete the necessary formalities with the Securities and Exchange Commission of Pakistan (SECP), Pakistan Stock Exchange (PSX) and Central Depository Company (CDC) before confirming the effective date and book-closure dates. These steps are required to facilitate the adjustment of the company’s shares and associated records. The company has not yet announced when the revised share structure will take effect, as the implementation timeline depends on the completion of the relevant procedures and approval of the schedule by its board of directors.

Under the 10-for-1 arrangement, shareholders will receive 10 shares for every existing share held, with each new share carrying a face value of Re1 instead of Rs10. Although the number of shares will increase tenfold, the split itself does not create additional company capital or directly increase the value of shareholders’ holdings. The adjustment changes the denomination and quantity of shares rather than the underlying ownership proportion. The market price of a share may adjust following a split, depending on trading conditions and investor demand, but the split alone does not change the company’s underlying business value or financial performance.

The company also reported details of its shareholder distribution for the financial year ended June 30, 2026. According to the information disclosed, shareholders received an interim cash dividend of Rs1 per share, equivalent to 10% based on the existing face value of Rs10. The company also distributed bonus shares equivalent to 10%. Together, the cash dividend and bonus share distribution represented a total distribution of 20% for the financial year, as noted by shareholders at the annual general meeting. These distributions were separate from the newly approved stock split and related to the company’s arrangements for the completed financial year.

In addition to approving the stock split, shareholders at the annual general meeting approved amendments to the company’s articles of association. The changes included revisions to the fees payable to directors for attending board meetings and committee meetings. The meeting also approved amendments intended to align the company’s constitutional documents with the Companies Act, 2017. Articles of association set out important provisions governing a company’s internal administration, including board procedures and other matters relating to its operations and governance. Updating these provisions allows the company’s governing documents to reflect the changes approved by shareholders and the applicable legal framework.

The next stage for iTANZ Technologies will involve completing the required formalities with the relevant regulators and market institutions before confirming the stock split schedule. The board of directors will approve the implementation timeline, after which the company is expected to announce the effective date and book-closure dates. Until these details are formally disclosed, shareholders and market participants will need to await further information from the company regarding the operational steps for converting existing shares into the revised structure.

The approval marks a change in the denomination of iTANZ Technologies’ ordinary shares, while leaving its total authorised and paid-up capital unchanged. The company’s other decisions at the annual general meeting covered shareholder distributions and amendments to its articles of association. The completion of regulatory procedures and publication of the implementation schedule will determine when the 10-for-1 split is formally reflected in the company’s share records.
