SECP Issues Notices To 28,761 Companies Over Ultimate Beneficial Ownership Disclosure

The Securities and Exchange Commission of Pakistan has issued show cause notices to 28,761 companies for failing to submit mandatory details concerning their Ultimate Beneficial Owners, marking a significant regulatory action aimed at strengthening corporate transparency and compliance. The notices were issued to companies that did not provide the required information through Form 19, which is used for reporting Ultimate Beneficial Ownership details. The Securities and Exchange Commission of Pakistan stated that submitting this information is a mandatory requirement under the Companies Act, 2017, making compliance an important responsibility for companies operating under the country’s corporate regulatory framework.

Under the applicable requirements, a person holding 25% or more of the shares or voting rights in a company is considered an Ultimate Beneficial Owner. The definition also covers a person who exercises direct or indirect effective control over a company. This framework is designed to identify the individuals who ultimately own or exercise control over corporate entities, regardless of whether such ownership or control is held directly or through other arrangements. Companies are therefore required to provide relevant ownership information to the regulator so that their beneficial ownership structure can be properly recorded and maintained.

The regulatory action covers a substantial number of companies, with 28,761 entities receiving show cause notices for non submission of the required Ultimate Beneficial Ownership information. The Securities and Exchange Commission of Pakistan said the affected companies had failed to submit Form 19, despite the requirement being established under the Companies Act, 2017. The notices provide the companies with an opportunity to address their compliance failures and submit the required information within the specified period. The action reflects the regulator’s focus on ensuring that companies meet their statutory reporting obligations.

The Securities and Exchange Commission of Pakistan has given the relevant companies 30 days to submit Form 19 and provide the required Ultimate Beneficial Ownership details. The stipulated period gives companies time to complete their disclosures and meet the regulatory requirement. Companies that fail to comply within the given 30 day period will face legal action, according to the Securities and Exchange Commission of Pakistan. The warning places responsibility on the concerned companies to ensure that their ownership information is submitted within the required timeframe and that their corporate records comply with applicable regulations.

The requirement for Ultimate Beneficial Ownership disclosure forms part of the broader corporate transparency framework established through the Companies Act, 2017. By requiring companies to identify individuals who hold significant ownership or exercise effective control, the framework provides the regulator with greater visibility into corporate ownership structures. The threshold of 25% or more shares or voting rights provides a specific basis for identifying an Ultimate Beneficial Owner, while the inclusion of direct or indirect effective control ensures that individuals exercising control through other arrangements are also covered by the disclosure requirements.

The latest notices demonstrate the Securities and Exchange Commission of Pakistan’s continued enforcement of mandatory corporate reporting requirements. With thousands of companies being directed to submit their outstanding Ultimate Beneficial Ownership information, the regulatory action places renewed emphasis on compliance with Form 19 requirements. Companies receiving the notices will need to provide the required information within 30 days to avoid further regulatory action. The Securities and Exchange Commission of Pakistan has made clear that failure to meet the stipulated deadline can result in legal consequences, reinforcing the importance of timely disclosure and compliance with the corporate ownership reporting framework.
