Systems Limited, one of Pakistan’s leading technology firms, has formally announced that it is considering the acquisition of an Information Technology (IT) services business. The development was shared in an official disclosure to the Pakistan Stock Exchange (PSX) on Wednesday, highlighting a strategic move aimed at expanding the company’s portfolio and strengthening its foothold in the IT sector.
According to the filing, the decision was taken following a meeting of the company’s Board of Directors held on September 16, 2025. The board authorized the management to explore the acquisition opportunity, subject to the successful completion of negotiations and compliance with regulatory requirements.
“We hereby wish to inform you that as authorized by the Board of Directors in the meeting held on Tuesday, September 16, 2025, at 8:30 PM, Systems Limited is considering a potential acquisition of an Information Technology (IT) services business, subject to finalization of negotiations of commercial terms, completion of due diligence, execution of definitive agreements, and receipt of regulatory approvals,” the company stated in its notice to the PSX.
The announcement underscores that the proposed acquisition is still in its preliminary stages, with several key steps yet to be completed. These include finalizing commercial terms, carrying out a comprehensive due diligence process, executing binding agreements, and securing all necessary regulatory clearances. Systems Limited assured stakeholders and investors that it will keep the stock exchange updated on any material developments as the process moves forward.
Alongside the acquisition discussions, the board also approved a key leadership change. Mr. Fayez Qamar Rasheed has been appointed as the new Company Secretary of Systems Limited. His appointment reflects the company’s ongoing focus on strengthening its governance and leadership structure as it pursues ambitious growth initiatives.
As a public limited company incorporated under the Companies Act, 2017, Systems Limited has built a reputation as a pioneer in Pakistan’s technology landscape. Its business spans software development, trading of software solutions, and business process outsourcing (BPO) services, with a growing international presence. The potential acquisition of an IT services business aligns with the company’s strategy of diversifying its offerings and scaling its operations in response to rising demand for digital solutions globally.
Industry analysts suggest that if the acquisition materializes, it could significantly bolster Systems Limited’s capabilities in delivering advanced technology services. Such a move would also position the company to compete more aggressively in both domestic and international markets, at a time when digital transformation is reshaping industries worldwide.
The announcement has drawn attention from investors and technology stakeholders alike, as acquisitions in Pakistan’s IT sector remain relatively rare compared to global markets. By signaling its intent to expand through acquisition, Systems Limited is reinforcing its role as a leading force in shaping the future of Pakistan’s digital economy.
