The Securities and Exchange Commission of Pakistan (SECP) has established a dedicated Corporate Debt Market Desk as part of efforts to strengthen Pakistan’s corporate debt market and facilitate capital raising through debt-based financial instruments. The new desk is intended to provide issuers and other market participants with direct guidance and support while making the debt issuance process simpler, faster and more cost-efficient.
The Corporate Debt Market Desk will serve as a dedicated point of assistance for companies and market participants seeking to raise financing through corporate debt instruments. Its scope will cover a range of debt market products and issuance routes, including bonds, Sukuk, public offerings, private placements, Pakistan Stock Exchange listings and other Shariah-compliant debt instruments.
The establishment of the desk follows a direction from Federal Minister for Finance Senator Muhammad Aurangzeb to develop a vibrant and efficient corporate debt market in Pakistan. The objective is to expand the financing options available to businesses over the long term and reduce excessive reliance on bank lending as a primary source of corporate funding.
Under the new arrangement, a senior SECP official has been designated as the focal person for the Corporate Debt Market Desk. The regulator has also established a dedicated Corporate Debt Market section on its website to provide market participants with relevant information and resources.
The online section includes the applicable legal and regulatory framework, market data, guidance material and contact information for the designated focal person. The availability of these resources is intended to give prospective issuers and other participants clearer information about the requirements and procedures associated with corporate debt issuance.
SECP Chairman Dr. Kabir Ahmed Sidhu said a deeper corporate debt market could help diversify long-term financing sources, mobilise institutional investment and support infrastructure and industrial growth. A stronger debt market can provide businesses with an alternative channel for raising capital while also creating additional investment opportunities for institutional investors.
The new desk forms part of SECP’s wider programme of reforms aimed at developing the corporate debt market. These reforms are focused on simplifying issuance procedures, reducing associated costs and standardising documentation to make the market more accessible to both issuers and investors.
Corporate debt instruments can provide companies with an alternative to conventional bank financing for funding expansion, infrastructure development and other long-term requirements. A more active market could therefore broaden the range of financing structures available to businesses while allowing institutional investors to participate in a wider selection of investment opportunities.
The Corporate Debt Market Desk is expected to assist market participants by providing guidance across different stages of the debt issuance process. Its coverage of bonds, Sukuk, public offerings, private placements and PSX listings brings several forms of corporate debt financing under a dedicated support mechanism.
The initiative also includes Shariah-compliant debt instruments, providing guidance for issuers seeking to raise funds through Islamic capital market structures. The inclusion of Sukuk and other Shariah-compliant instruments is relevant to the development of Pakistan’s Islamic capital market alongside conventional debt financing.
SECP’s move comes as the regulator continues efforts to improve the structure and accessibility of Pakistan’s capital markets. By creating a dedicated desk and consolidating regulatory information and market guidance through a dedicated online section, the commission is seeking to reduce procedural barriers facing companies considering debt market financing.
The development of a stronger corporate debt market is also expected to support the mobilisation of institutional capital toward productive sectors of the economy. According to SECP, greater participation in the market can contribute to financing infrastructure and industrial activity while providing businesses with additional options for meeting long-term funding requirements.
