Islamabad High Court Approves Landmark Telecom Merger Between Telenor Pakistan and Ufone

The Islamabad High Court has officially sanctioned the landmark merger of Telenor Pakistan Private Limited into Pak Telecom Mobile Limited, commercially known as Ufone. This critical regulatory milestone effectively clears the final major legal hurdle for one of the most significant consolidation transactions in the history of the telecommunications sector in Pakistan. The formal approval of the amalgamation scheme is set to reshape the competitive landscape of the digital economy, bringing together two of the country’s prominent mobile network operators under a single unified corporate structure to drive operational efficiencies and expand infrastructure capabilities.

In a detailed judgment, Justice Khadim Hussain Soomro sanctioned the proposed merger scheme after finding it fully compliant with the statutory provisions of the Companies Act, 2017. The court determined that the structural arrangement is neither unlawful nor contrary to any prevailing public interests. Under the officially approved court order, all physical and digital assets, real estate properties, operational rights, financial obligations, and liabilities previously held by Telenor Pakistan will be systematically transferred to and absorbed by Pak Telecom Mobile Limited. Once the merger process reaches its effective implementation date, Telenor Pakistan will be deemed dissolved as a separate corporate entity without the need for independent and time-consuming winding-up proceedings.

To execute the court’s directives, the petitioner has been instructed to submit a certified copy of the judicial decree to the Registrar of the Securities and Exchange Commission of Pakistan. Upon receiving the documentation, the registrar will take all necessary administrative measures to record and implement the approved merger scheme in line with the national corporate legal framework. Additionally, the court has directed the merging entities to ensure strict and full compliance with all remaining legal, regulatory, and financial requirements necessary for the seamless transition of services. This includes coordinating closely with other national bodies such as the Pakistan Telecommunication Authority and competition commission authorities.

During the legal proceedings, the court observed that its role in reviewing and approving a corporate scheme of arrangement is primarily supervisory in nature. The judiciary’s main responsibility in such corporate reorganizations is to verify that all statutory processes prescribed by law have been met diligently and that the rights of stakeholders, including creditors and minority shareholders, have been adequately protected. Upon evaluating the comprehensive records, the Islamabad High Court concluded that all the conditions laid down under the Companies Act of 2017 had been successfully satisfied by the petitioning telecommunication companies, making the integration legally viable.
